Agreement to Terms

By accessing and using the Vortyx Labs website at vortyxlabs.com (the "Site"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Site.

Services

Vortyx Labs is a boutique software engineering studio providing services including, but not limited to, cloud infrastructure architecture, backend development, frontend engineering, and AI integration consulting.

All engagements are subject to separate statements of work (SOWs) or service agreements that will outline specific deliverables, timelines, and compensation. These Terms govern your use of our website and do not constitute a service agreement.

Intellectual Property

The Site and its original content, features, and functionality are and will remain the exclusive property of Vortyx Labs. The Site is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Vortyx Labs.

User Submissions

By submitting information through our inquiry forms or Project Planner tool, you grant Vortyx Labs a non-exclusive, royalty-free right to use, review, and analyze such information solely for the purpose of evaluating your project and responding to your inquiry.

You represent and warrant that any information you provide is accurate, complete, and does not violate any third party's rights.

AI-Powered Tools

Our Site includes an AI-powered Project Planner tool that utilizes Google's Gemini API. The output generated by this tool is provided for informational and preliminary assessment purposes only.

Limitation of Liability

In no event shall Vortyx Labs, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to, use of, or inability to access or use the Site
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
